Terms and conditions governing the use of our website and services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Client") and Gimlet Farms Pty Ltd (ABN 96 678 612 176, ACN 678 612 176) ("we", "us", "our", "Company"), a company registered in Australia and operating from the Kondinin area, Western Australia 6367.

By accessing our website at gimletfarmspty.space or engaging our sports consulting services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

2. About Our Services

Gimlet Farms Pty Ltd provides professional sports consulting services including, but not limited to:

  • Rural sports development planning and strategy
  • Athletic training consulting and coaching frameworks
  • Sports facility planning, assessment, and master planning
  • Community sports program design and implementation
  • Governance and organisational strategy for sporting bodies
  • Sports tourism and event consulting

The specific scope, deliverables, and terms of any consulting engagement will be detailed in a separate service agreement or proposal.

3. Use of Website

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable federal, state, or local laws
  • Attempt to gain unauthorised access to any part of the website or its systems
  • Use the website to transmit harmful, threatening, or offensive material
  • Reproduce, duplicate, or copy material from the website without our express permission
  • Use automated systems or software to extract data from the website
  • Interfere with or disrupt the operation of the website

4. Consulting Engagements

4.1 Engagement Process

All consulting engagements commence with a written proposal or service agreement that outlines the scope of work, deliverables, timeline, and fees. No work will commence until both parties have agreed to the terms of the engagement in writing.

4.2 Client Obligations

When engaging our services, you agree to:

  • Provide accurate and complete information relevant to the engagement
  • Make key personnel available for consultations, meetings, and reviews
  • Provide timely feedback on deliverables and draft documents
  • Pay invoices in accordance with the agreed payment terms
  • Notify us promptly of any changes that may affect the engagement

4.3 Our Obligations

We will:

  • Perform all services with reasonable care and skill
  • Deliver work in accordance with the agreed scope and timeline
  • Maintain confidentiality of client information
  • Communicate proactively about project progress and any issues
  • Act in the best interests of the client and their community

5. Fees and Payment

Our fees are outlined in individual service agreements and proposals. Unless otherwise agreed in writing:

  • All fees are quoted in Australian Dollars (AUD) and are inclusive of GST where applicable
  • Gimlet Farms Pty Ltd is registered for GST (effective 1 January 2026)
  • Invoices are payable within 30 days of the invoice date
  • Travel expenses for regional engagements will be outlined in the service agreement
  • Late payments may incur interest at a rate of 2% per month on the outstanding balance

6. Intellectual Property

6.1 Our Intellectual Property

All content on our website, including text, graphics, logos, SVG illustrations, and design elements, is the property of Gimlet Farms Pty Ltd and is protected by Australian intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

6.2 Deliverables

Unless otherwise agreed in writing, upon full payment of all fees, the Client will receive a licence to use deliverables produced during the engagement for the purposes outlined in the service agreement. Our underlying methodologies, frameworks, and templates remain our intellectual property.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of a consulting engagement. This obligation survives the termination of any engagement and applies indefinitely to trade secrets and for a period of five (5) years for other confidential information.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim
  • We shall not be liable for any indirect, incidental, consequential, or punitive damages
  • We shall not be liable for delays or failures caused by circumstances beyond our reasonable control
  • Our consulting advice and recommendations are based on the information provided to us and current best practices; outcomes are not guaranteed

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

9. Termination

Either party may terminate a consulting engagement by providing 30 days' written notice. In the event of termination:

  • The Client is responsible for payment of all work completed up to the date of termination
  • We will deliver all completed work and work-in-progress upon receipt of final payment
  • Any pre-paid fees for uncompleted work will be refunded on a pro-rata basis

We reserve the right to terminate an engagement immediately if the Client breaches these Terms or fails to pay invoices within the agreed timeframe.

10. Dispute Resolution

In the event of a dispute arising from these Terms or any consulting engagement:

  • The parties will first attempt to resolve the dispute through good-faith negotiation
  • If negotiation is unsuccessful, the parties will engage in mediation through a mutually agreed mediator
  • If mediation fails, the dispute may be referred to the appropriate court in Western Australia

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.

11. Indemnification

You agree to indemnify and hold harmless Gimlet Farms Pty Ltd, its directors, employees, and contractors from any claims, damages, losses, or expenses arising from your breach of these Terms or misuse of our services or website.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, pandemics, government restrictions, or severe weather events affecting regional Western Australia.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with any applicable service agreement or proposal, constitute the entire agreement between you and Gimlet Farms Pty Ltd. Any variations to these Terms must be agreed in writing by both parties.

15. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on our website with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
